According to the Companies Ordinance, a Hong Kong incorporated company which intends to cease its business can choose deregistration as a way to terminate its business. But the company must meet the following three basic conditions:

• The company did not start business or
• The company has ceased business for over 3 months before the lodgment of the application and
• All outsider liabilities are settled
